Terms of Service

1. Acceptance of Terms

By accessing or using VendorWeave ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. VendorWeave is operated by VendorWeave LLC ("Company," "we," "our," or "us").

2. Description of Service

VendorWeave is a supply chain automation platform that helps manufacturers manage supplier communications, track lead times, collect documents, and maintain accurate ERP data. The Service includes automated email outreach, supplier scorecards, and data management tools.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You must be at least 18 years old to use the Service
• One person or legal entity may not maintain more than one free trial account

4. Subscription and Payment

• VendorWeave offers a Free tier (up to 5 suppliers, no credit card required) and paid tiers (Core, Pro, Growth) with increased supplier limits
• All features are available on all tiers, including Free; only the number of suppliers varies
• Paid subscriptions may be billed monthly or annually in advance
• Annual subscriptions receive a discount and are billed as a single payment for 12 months
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice to existing customers
• Your subscription will auto-renew unless you cancel before the renewal date
• Payment processing is handled securely by Stripe; we never see or store your full card number
• The Growth tier requires a one-time Enterprise Onboarding fee in addition to the monthly or annual subscription

You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Downgrades take effect at the end of your current billing cycle. If you downgrade and exceed the new tier's supplier limit, existing suppliers will be retained but you cannot add new ones until you are within the limit.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Send spam or unsolicited communications through the platform
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the Service or servers
• Reverse engineer or attempt to extract source code
• Use the Service to store or transmit malicious code
• Violate any applicable laws or regulations

6. Your Data

You retain ownership of all data you submit to VendorWeave. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

• You are responsible for the accuracy of data you input
• You must have the right to share any supplier contact information you add
• We will not sell your data to third parties
• You can export or delete your data at any time

7. Email Integration (OAuth)

VendorWeave requires you to connect your own email account (Google Gmail or Microsoft Outlook) via OAuth to send supplier communications. By connecting your email, you authorize VendorWeave to:

• Send emails to suppliers on your behalf using your connected email address
• Read email responses from suppliers to extract supply chain data

Emails sent through VendorWeave are sent from your email address. You are responsible for ensuring that your use of this feature complies with applicable laws, including CAN-SPAM, GDPR, and other anti-spam regulations. You represent that you have a legitimate business relationship with the suppliers you contact through our platform.

You may disconnect your email account at any time through Settings. Disconnecting will stop all automated email features but will not delete your supplier data.

8. AI-Powered Processing

VendorWeave uses artificial intelligence to automate supplier management tasks, including:

• Parsing supplier email responses to extract lead times, prices, and delivery information
• Extracting data from uploaded documents (certificates, compliance forms, assessments)
• Scoring data confidence levels for your review

AI processing is automated. While we strive for accuracy, AI-extracted data may contain errors. You are responsible for reviewing and confirming critical data before making business decisions based on AI-parsed information. VendorWeave provides confidence scores to help you identify data that may need manual verification.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by VendorWeave and is protected by international copyright, trademark, and other intellectual property laws. Our trademarks may not be used without prior written consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDORWEAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason at our discretion. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service will immediately cease.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
